Legal Manager (HCM)
Mô tả công việc
- Draft and ensure all agreements, contracts, transactions, and other legal documents are consistent with Vietnamese law and company policy.
- Review and give comments related to standard business contracts, agreements, and legal documentation to secure compliance with current regulations and to protect the Company’s interests by utilizing outsourced expert knowledge.
- Develope formats /templates for various types of agreements.
- Give appropriate and timely counsel to internal clients on various legal topics (labor law, partnerships, finance, business, compliance, etc.)
- Collaborate with the management team to devise efficient legal risk prevention strategies.
- Collaborate with Compliance PIC to specify internal governance policies.
- Respond to legal disputes, litigations including timely communications with headquarters in Japan and with external counsels
- Enhance and maintain the corporate governance
- Manages contract change control process and related correspondence requiring legal input.
- Monitor Contract Management System.
Yêu cầu ứng viên
- At least seven (5) years of experience in private practice, in-house positions are necessary.
- Working experience & knowledge of pharmaceutical industry is strongly preferred
- Working experience in risk assessment function with multi-national corporations is preferred
- Knowledge in anti-bribery/anti-corruption (not only in Vietnam, but also include Foreign Corrupt Practices Act in the U.S. and the Bribery Act in the U.K.) and experience of establishment of internal structure and drafting of internal rules are necessary
- Good in execution as well as drawing up regulations/ policies
- Knowledge of labor law (including sexual harassment, power harassment), antitrust law, intellectual property law, pharmaceutical laws in Vietnam is necessary
- Experiences in employee training (for the need of legal training to employees)
- Excellent spoken & written by Business English good communication skills
- Have strong analysis, problem solving, negotiation and presentation skills
- Independent mindset with good ability of risk analyzing in reviewing business transactions
- Able to manage multiple tasks according to business/ team structures in need
