Legal Manager
Mô tả công việc
· Building a legal model to support the assessment of opportunities and potentials to conduct mergers and acquisitions.
· Work directly with the Finance & Accounting Department and internal legal review team to support all legal issues arising from project implementation.
· Prepare and provide legal documents and questions related to corporate and project legislation to investors to conduct a review of the target company.
· Collaborate and work with foreign lawyers, consultants, and firms to review/revise Sales Contracts and/or governing law sources.
· Provide risk assessment and legal advice on company operational and development projects (M&A, Construction, Investment… and the other related legal matters).
· Handle regulatory issues including governmental filings, licenses, approvals and registration of the company and project.
· Negotiate, review and draft contracts, corporate documents and other legal documents of the company.
· Negotiate and draft legal documents including transaction documents, agreements, etc... and monitor the execution of these agreements.
· Ensure all to investment licenses, Branch Licenses, Share Certificates are renewed, upgraded on-time, valid at all time and in line with constantly changing laws and business models of the Company;
· Manage business risk through appropriate legal structures, processes and communication in line with the laws of Vietnam;
Yêu cầu ứng viên
- Having university graduation with Law major
- Excellent knowledge and understanding of the law on M&A, foreign investment, enterprise, etc.
- Minimum 5 years experience as an in-house legal counsel in a multinational corporation or an associate in a law firm.
- Having rich experience in M&A, and direct involvement in handling the projects is an advantage.
- Understanding of financial and banking fields is an advantage
- Fluent English (4 skills)
- Microsoft Office (word, excel, power-point)
- At least 05 years working for law firms/consulting companies or holds a similar position within multinational corporations
1. Deep understanding of legal framework applicable to the pharmaceutical industry;
2. Deep understanding of commercial laws including contract, investment, commercial, intellectual property law (trademark law) land law, banking and labor law;
3. Good knowledge of all the key global, regional and national influences on the legal environment of the pharmaceutical and retails industry;
4. Good understanding of the taxation system of Vietnam;
5. Good understanding of the process of enactment of legislation;
6. Good knowledge of court procedures.
7. Able to demonstrate strong people leadership and management skills
8. Excellent communication and negotiation skills.
9. Proactive, entrepreneurial approach to recognize needs, solve problems, anticipate issues and develop solutions; excellent business judgment and strategic thinking
