ROLE OVERVIEW

We’re looking for a Senior Legal Specialist to oversee legal and compliance matters, provide strategic legal support across business functions, and lead the legal team in safeguarding the company’s interests while enabling sustainable business growth.

The ideal candidate should have strong commercial legal expertise, sound business judgment, leadership capability, and the ability to work effectively with cross-functional stakeholders in a dynamic environment.

KEY RESPONSIBILITIES

Reporting line: Chief of Finance & Operations (CFOO)

• Contract Management
  • Take ownership of contract governance framework to ensure alignment with internal policies, risk management standards, and applicable international legal practices.
  • Lead drafting, review, and negotiation of complex commercial and cross-border agreements (service, distribution, franchise, supplier, JV, NDA, etc.).
  • Drive standardization of contract templates and continuously enhance contract best practices across business units.
  • Oversee end-to-end contract lifecycle management, ensuring proper legal control from structuring, execution, amendment to renewal and termination through contract management systems.
• Legal Advisory
  • Serve as a key legal advisor to business units on commercial transactions, international operations, and strategic initiatives.
  • Lead legal assessment of risks related to contracts, intellectual property, content rights, licensing structures, and dispute resolution matters.
  • Provide legal guidance in structuring partnerships, collaborations, and commercial arrangements to balance business objectives and legal risk.
  • Oversee legal review of marketing, content, and business activities to ensure compliance with applicable regulatory frameworks.
  • Take a leading role in managing legal disputes and negotiations with external partners, suppliers, and stakeholders when required.
  • Interpret and apply relevant international legal frameworks, including CISG, ASEAN trade agreements, and other applicable treaties, to support business operations.
• Compliance & Corporate Governance
  • Contribute to the design and enhancement of internal compliance frameworks and corporate governance structures.
  • Act as key liaison with external legal counsel, regulatory authorities, and government agencies on complex legal and compliance matters.
  • Monitor legal and regulatory developments and provide strategic recommendations to management on commercial law, labor law, advertising regulations, data privacy, and digital/media related regulations.
• Leadership & Team Management
  • Act as a senior legal anchor within the organization, guiding junior legal members and ensuring consistent legal quality and risk standards.
  • Lead the development and optimization of legal processes, frameworks, and governance mechanisms to improve efficiency and risk control.
  • Partner closely with senior leadership and cross-functional teams as a trusted legal advisor in strategic decision-making and business risk management.

Yêu cầu ứng viên

• Education: Bachelor’s Degree in Law (LL.B.); postgraduate or international law qualifications are a plus.
• Experience:
  • Minimum 5 years of experience in legal advisory, in-house counsel, or law firm practice, including at least 1–2 years in a team lead or supervisory role.
  • Strong experience in drafting, reviewing, and negotiating commercial and cross-border contracts.
  • Experience working in fast-paced business environments such as media, digital platforms, entertainment, or commercial sectors is an advantage.
• Knowledge and Skills:
  • Strong experience in drafting bilingual (English–Vietnamese) contracts and legal documents.
  • Practical experience with contract management systems (e.g., DocuSign or similar platforms).
  • Good understanding of international commercial contracts, dispute resolution mechanisms, intellectual property, and general legal risk management.
  • Strong English communication skills (both written and spoken), sufficient for contract review and business communication.
  • Strong communication, negotiation, analytical thinking, and stakeholder management skills.
  • Business-oriented mindset with the ability to balance legal risk and commercial objectives in practical situations.
  • Proven ability to guide junior team members and collaborate effectively with cross-functional stakeholders.
