Legal Executive
Mô tả công việc
• Update to the new legal regulations issuance and effectiveness: Create the legal monthly updates and ad-hoc updates related to key legal sectors.
• First drafting and follow up the completion of the internal legal documents such as meeting minutes, resolutions, decisions of the GMS, BOD and management of Group Companies.
• First drafting, consolidate and file the dossiers for corporate registration and investment activities of Group Companies (company establishment, adjustment, investment registration, investment approval, oversea investment registration, etc.) and other regulatory registration procedures.
• First drafting/review contracts arising in the day-to-day operations of Group Companies; Verify of contract before sending to sign (English and Vietnamese); Control the compliance of Group Companies as well as the contractors with its obligation under the executed contracts (financing agreements, O&M agreements, consultancy agreements, construction agreements and other commercial agreements).
• Support Internal Lawyer to legal advice to the Finance and Accounting Department and other functional departments of Group Companies.
• Liaise with all departments on governance and compliance issues under the prevailing framework and standing guidelines/internal policies; regulatory compliance, licenses and permits tracking.
• Doing the research and advice initial on the laws and regulations of the countries that are related to the business operation and investment activities of Group Companies.
• Organize the archiving, preservation and control the use of legal dossiers and documents under the management of Legal Department.
• Other tasks assigned by the line manager.
Yêu cầu ứng viên
• Graduate with the bachelor's degree in law studies (commercial, civil, administrative laws sub-major) from University of Law of HCMC or Hanoi city, University of Economic and Law, University of Economic of HCMC or other well-known university; Master's degree in Law or secondary bachelor's degree in supportive field is preferred but not mandatory.
• Has at least 3-year experiences in legal field (both consultancy and procedure implementation).
• Have a good knowledge of Vietnamese laws and regulations applicable to the business; Experience working in the energy sector (in particular, renewable energy) would be an advantage.
• Good English proficiency in 4 skills (At least equivalent to B2 CEFR).
• Integrity and honesty.
• Meticulous.
• Driven.
• Clear logical thinking and professionalism.
• Capable to work under time-pressure.
• Strong and fast Problem-solving skills, flexibility and assertiveness.
