DESCRIPTION:
Responsibilities will encompass a wide range of the company's legal affairs, including commercial matters, financial and investment projects, FX regulations, regulatory compliance matters, HR matters, corporate governance and certain securities matters. The Legal counsel will interact with senior legal counsel and all members of the company, and a wide range of both Vietnamese and foreign employees, and partners, and local authorities.
RESPONSIBILITIES:
• Drafting and negotiating a variety of commercial contracts from investment/share purchase agreements to vendor and non-disclosure agreements to managing legal risk, litigation, employment issues, and ensuring the company’s investments are protected
• Monitoring the execution of contracts/documents and implementation of the transactions/investment projects
• Managing external counsel
• Keeping abreast of changes in laws affecting the company and its investments
• Giving legal advice with respect to corporate administration; prepare corporate documents; anticipate and guard against legal risks involving the company and its investments
• Studying proposed and existing legislation related to operations of the company and advising management on the same
• Other duties as assigned
Yêu cầu ứng viên
• 5 to 10 years of corporate and commercial transactional experience in law firm or fast-paced in-house corporate legal department
• Good knowledge of Vietnam laws and regulations applicable to corporations and investments
• Detail-oriented
• Persuasive individual possessing strong negotiating skills, oral and written communications skills
• Ability to grasp legal and business issues, balance risks, and provide practical and constructive legal advice in a business environment
• Excellent time management, communications, decision-making, presentation, human relations, and organizational skills
• Effective problem solver; prioritize and manage multiple projects without direct supervision
• Resourceful and focused; ability to assess investment risks
• Experience in investment industry or financial background highly desired
• English proficiency (oral and writing)
