Senior Legal Counsel (Corporate, Commercial, Licensing)

For our USD 4 billion integrated resort development south in Hoi An, now we are searching for a Senior Legal Counsel to oversee legal matters pertaining to corporate, commercial and licensing. Reporting to our Vice President of Legal, the Senior Legal Counsel will be the point-person in corporate and commercial matters and manage a team of legal staff.
KEY RESPONSIBILITIES AND ACCOUNTABILITIES
• Acting as Legal Department's Head of Corporate & Commercial Matters.
• Working in close cooperation with Senior Management, Operations, Finance, Procurement Departments to ensure smooth legal operation of the company's activities.
• Drafting, reviewing and negotiating a variety of commercial contracts in both English and Vietnamese.
• Participating actively in M&A and project finance transactions.
• Handling licensing matters, including drafting, submitting and updating various licenses (IRC, ERC, trading license, retail license, foreign exchange license, alcohol license, food safety certificate, etc.)
• Overseeing corporate matters, including drafting Members Council resolution and minutes, updating company charter, managing powers of attorney.
• Identifying and advising on legal risks in connection with the company's corporate and commercial activities.
• In close cooperation with Vice President of Legal Affairs manage the time and resources of the Legal Department's junior legal counsels and legal assistants and assign tasks accordingly.
• Liaising with specialist external counsel as and when required.
• Monitoring changes to regulatory requirements and proactively handling and communicating regulatory developments.
• Building and maintaining professional working relationships with relevant local and central authorities and legal bodies.
Yêu cầu ứng viên
• Vietnamese national.
• Bachelor's degree (or above) in law.
• Minimum 5 years’ experience from law firm in-house legal advisor, focusing on matters related to corporate and commercial.
• Professional familiarity with the Law on Investment, Land on Enterprises, Commercial Code, Civil Code, and their implementing decrees and circulars.
• In-depth knowledge of procedures applicable to licensing of foreign-invested enterprises.
• Experience in working with licensing authorities and maintaining such relationships.
• First-hand experience in drafting and negotiating commercial contracts.
• Excellent Vietnamese and English skills (written and oral).
• Technical insights in hospitality and legal matters applicable to hospitality and gaming business is a strong advantage, but not required.
