Head of Legal (6-Month contract)

ACTIVITIES:
- Provides legal advice and guidance with regard to business investment in Vietnam, including in particular administrative requirements.
- Advises M&S Vietnam management on all legal matters.
- Ensures compliance of TOTAL affiliates in Vietnam with their legal obligations in all fields (corporate, administrative, etc.)
- Drafts, reviews and evaluates all legal reports and contracts within TOTAL affiliates in Vietnam
- Coordinates with external legal firms.
- In charge of business registration/renewal matters of TOTAL affiliates in Vietnam.
- Manages all formalities in relation to board/members/shareholder meetings and formalities.
- In charge of corporate legal documents and files to be classified and kept inside the company.
- Manages any litigation involving TOTAL affiliates in Vietnam.
- Provides translation services of certain legal documents and matters.
- Advises the business on changes in Vietnam law and the impact of those changes on TOTAL affiliates in Vietnam.
- Provides training and/or presentations on legal matters such as competition law, contract law etc.
CONTEXT AND ENVIRONMENT:
- Based in Ho Chi Minh City with occasional business travel to affiliates within Vietnam and abroad if required.
- Works independently but must interact and liaise closely with Corporate Affairs and operational business personnel to provide legal support for the business.
- Maintains close contact with the relevant authorities and external lawyers to understand the update and trends of laws and regulations.
ACCOUNTABILITIES:
- Guarantees the overall legal compliance and safety of M&S Vietnam activities
- Plays a key role in all M&A activities (external deals or internal restructuring) undertaken by M&S Vietnam

QUALIFICATIONS/EXPERIENCE REQUIRED:
- Degree in legal affairs in Vietnam.
- Good knowledge of Vietnamese law and legal matters in Vietnam.
- At least 10 years post qualification (certified lawyer) experience preferably in an international law firm, otherwise in the legal department of international companies.
- Vietnamese mother tongue.
- Good English essential, French a bonus
