Mô tả công việc

Key Responsibilities

A. Legal Advisory and Transactional Support

Provide legal advice and prepare legal opinions, memos, and reports regarding foreign investment, company incorporation, business lines, licensing procedures, and post-licensing compliance.
Advise clients on the legal frameworks and procedures for setting up business entities in Vietnam, including 100% foreign-owned companies, joint ventures, and representative offices.
Draft, review, and negotiate various commercial contracts, including joint venture agreements, shareholder agreements, service contracts, and M&A-related documents (e.g., SPA, SHA, due diligence reports).
Assist clients in deal structuring, investment project analysis, and implementation strategies to ensure compliance with Vietnamese laws and regulations.
Work closely with clients during licensing procedures, including Investment Registration Certificates (IRC), Enterprise Registration Certificates (ERC), amendments, and other regulatory filings.

B. Licensing and Regulatory Compliance

Liaise with competent authorities to facilitate and expedite licensing matters.
Provide compliance advice on areas such as corporate governance, employment laws, real estate, intellectual property, and tax in coordination with internal/external professionals.
Support internal and external audits, inspections, or legal compliance reviews where required.

C. Client Management and Internal Coordination

Maintain ongoing communication with clients to clarify requirements, timelines, and deliverables.
Coordinate with other departments to deliver comprehensive services to clients.
Ensure timely reporting and documentation of all advisory work in accordance with firm’s quality and risk management policies.

Yêu cầu ứng viên

A. Qualifications

Bachelor of Laws (LL.B.) from a university in Vietnam or abroad.
Lawyer Practicing Certificate or completion of lawyer training is a plus.

B. Experience

At least 02 years of experience working in a law firm, consulting firm with a focus on foreign investment, corporate law, and commercial transactions in Vietnam.

C. Skills and Competencies

Experience working with foreign clients and communicating in English regarding legal matters.
Detail-oriented, well-organized, and capable of managing multiple projects simultaneously.
High sense of responsibility, confidentiality, and professional ethics.

D. Language

Proficiency in both Vietnamese and English (speaking, writing, and reading) is required.
Legal English (especially contract drafting) is an essential skill.

Thời gian làm việc
