The position of Senior Legal Executive reports directly to the COO and is responsible for:
- Participate in the legal review/ legal due diligence process of potential deals to conduct M&A
- Carry out legal review and inspection of investment projects; collect and prepare project legal documents based on location or other specifications properly
- Consult and propose legal recommendation during an M&A process.
- Analyze, evaluate and forecast the risks from the legal perspective for M&A deals to minimize disputes and risks, during the implementation of M&A activities and after the company merger .
- Draft and review M&A relating documents, including: Letter of Interest/ Letter of Intent, Non-disclosure Agreement, Purchase or Sales Agreement, Loan Contract, Non-Compete Agreement, Capital Contribution Contract, Charter and others.
- Directly negotiate the terms of agreements/ contracts with partners, including foreign partners
- Others as assigned from BOD
Yêu cầu ứng viên
- Bachelor or Higher Degree of Commercial Law or Economic Law
- Possess from 5 years of work experience, including M&A experience in Real Estate, Energy/ Power or Water at reputable law firms or Corporates
- Be fluency in Business English
- Be Pro-active, attention to details and hard-working
