JOB DESCRIPTION: 

• Conducting in-depth legal research on Vietnamese laws and regulations related to foreign direct investment, investment registration, business licensing, corporate establishment, restructuring, compliance, and post-licensing obligation; 
• Assisting associates/partners in drafting, reviewing, and finalising a wide range of legal documents, including investment registration certificates (IRC), enterprise registration certificates (ERC), various business licenses and permits, charter amendments, shareholder resolutions, meeting minutes, powers of attorney, compliance reports, and disclosure documents; 
• Assisting associates/partners in advising clients on market entry strategies, licensing procedures (including conditional business lines), investment incentives, and regulatory compliance under the Law on Investment, Law on Enterprises, and sector-specific regulations; 
• Assisting associates/partners in drafting, reviewing, and negotiating various commercial agreements and contracts between the firm’s clients and their partners, suppliers, joint-venture counterparts, service providers, and other third parties, including but not limited to shareholder agreements, joint venture agreements, supply and distribution contracts, lease agreements, service agreements, and related ancillary documents, ensuring alignment with Vietnamese law and client commercial objectives; 
• Supporting due diligence processes for M&A, joint venture, share transfers and corporate reorganisation, including preparation of due diligence reports, checklists; 
• Managing application submissions, following up on licensing processes, and handle post-approval procedures with state competent authorities (DOF, DOIT, relevant ministries, tax offices, etc.); 
• Assisting associates/partners in preparing legal memos, summaries of regulatory updates, and client advisories on changes in investment and corporate law and other important laws and regulations; and 
• Performing other ad hoc tasks as assigned by associates/partners to support client service excellence

Yêu cầu ứng viên

REQUIREMENTS 

• Male/Female under 35 years old, Hanoi base. 
• Graduated from university (Major in law) or Law school in Vietnam; 
• At least 4 years of relevant experience as a paralegal/senior paralegal in a reputable law firm in Vietnam, preferably with international clients or an international law firm environment. 
• Strong practical knowledge of Vietnam’s investment law, enterprise law, licensing procedures, and regulatory framework for foreign investors; 
• Excellent command of written and spoken English;
• Highly detail-oriented, well-organised, and able to manage multiple deadlines and priorities in a fast-paced environment. 
• Strong research, drafting, and analytical skills; proficient in Microsoft Office (Word, Excel, PowerPoint) and legal document management tools.. 
• Proactive attitude, high sense of responsibility, and ability to work independently as well as collaboratively within a team.
