Legal Counsel (Asia Region)

- Main Responsibilities:
- Based in the Fukuoka office, you will report to the Shift Energy Group Head of Legal and work closely with other Shift Energy Legal team members. You shall oversee the legal aspects of the various businesses of
- Shift Energy in Japan ("Shift Energy") and across Asia ("Shift Energy Group") on cross-border transactions.
- Activities include without limitation the following:
- Delivering accurate and timely counsel to Senior Management, executives and other stakeholders in a variety of legal topics (company law, mergers & acquisitions, corporate finance, labour law, cross-border and commercial transactions, etc.)
- Drafting, reviewing and negotiating agreements, contracts and other legal documents to protect and preserve the full legal rights of Shift Energy's businesses
- Assisting with possible joint ventures, venture capital, acquisitions and formation of business entities as part of business expansion of Shift Energy in particular, and the Shift Energy Group in general
- Creating and updating templates of key legal documents used by Shift Energy
- Addressing concerns from due diligence assessment with third party legal counsel and scriveners
- Identifying and evaluating regulatory and statutory issues and company risk factors regarding business decisions and operations of Shift Energy to then implement effective risk mitigation techniques
- Communicating and negotiating with Shift Energy Group teams, Shift Energy teams and external parties (regulators, channel partners, public authority, etc.), creating relations of trust
- Engaging and liaising with third-party legal counsel and scriveners on assignments, and oversee
- efficient use of their budget allocation
- Providing clarification on legal language and legal aspects of the business to the various stakeholders in Shift Energy
- Documenting, filing and retaining legal documents securely for Shift Energy
- Maintaining knowledge of organizations operations and legal documents relating to Shift Energy
- Conducting legal research, maintaining current knowledge of applicable legislation to Shift Energy and staying informed about current legislation that will have an impact on Shift Energy operations
- Conducting work with integrity and responsibility, and in the spirit of the Shift Energy culture
- Volume, quality and value of deal completions with cash/payments complete

Yêu cầu ứng viên
• University law degree
• Qualified as a Japanese lawyer with minimum of 2 years legal experience (law firm or in-house)
• Fluent in speaking, reading and writing in Japanese and English
• Highly adaptable personality seeking to deliver results in a challenging and rewarding business environment
• Experience facing challenges with both failures and successes
• Strong organizational skills
• Diligent and precise
