I. Key Responsibilities
A. Primary Responsibilities
1. Legal Advisory & Contract Management
- Draft, review, negotiate, and manage commercial contracts, agreements, and legal documents.
- Provide legal advice and practical solutions on contractual, operational, and commercial matters.
- Ensure legal compliance and protect the Company's interests in all contractual arrangements.
- Develop and maintain contract templates and approval procedures.
2. Compliance, Corporate Governance & Company Secretarial
- Establish and enhance legal and compliance frameworks, policies, procedures, and internal controls.
- Support the Company's governance structure, restructuring, and business growth initiatives.
- Monitor regulatory changes and ensure compliance with corporate, commercial, labor, tax, environmental, and industry-specific regulations.
- Coordinate with regulatory authorities and conduct compliance reviews to identify improvement opportunities.
- Support the Member Council and shareholder meetings, including preparation of agendas, resolutions, and minutes.
- Maintain corporate records, statutory registers, and corporate licenses; ensure timely statutory filings with competent authorities.
- Coordinate governance-related matters between management, the Board, the Member Council, and the parent company.
3. Legal Risk Management
- Identify, assess, and mitigate legal and regulatory risks arising from business activities.
- Provide legal risk assessments and recommendations to support management decision-making.
- Develop and maintain legal risk management policies and controls.
B. Secondary Responsibilities
4. Dispute Resolution & Litigation
- Manage disputes, claims, investigations, and litigation matters involving the Company.
- Lead negotiations and settlement discussions where appropriate.
- Coordinate external legal counsel and protect the Company's interests in disputes.
5. Training & Business Support
- Conduct legal and compliance training programs for employees and management.
- Provide ongoing legal and compliance support to business units.
Yêu cầu ứng viên
Qualifications & Experience
- Bachelor’s degree in law; master’s degree or Lawyer Practicing Certificate is an advantage.
- Minimum 7-10 years of legal experience, including at least 3 years in a managerial role.
- Substantial experience in mining, commodity/coal trading, cross-border logistics, or energy sectors is strongly preferred; exposure to cross-border transactions and foreign investment structures is an advantage.
- Strong experience in corporate law, commercial contracts, compliance, governance, and risk management.
- Proven experience building legal and compliance frameworks within growing or restructuring organizations.
- Strong knowledge of Vietnamese corporate, commercial, labor, and compliance regulations.
