Legal Advisor
Mô tả công việc
Give accurate and timely counsel to executives in a variety of legal topics (labor law, partnerships, international ventures, corporate finance etc.):
• Review and advise on contracts (retails & project sales, purchasing & supply chain, other department contracts – cases by cases) in terms of legal and law conformity
• Review legal documents to work with customers and relevant authorities, including but not limited to tax dept, DOIT, MOIT, etc.
• Review and consult internal procedures for Sales and other departments.
• Review promotion schemes and programs, implementation process of promotional programs for end-users, dealers; advise on regulations of advertisements, billboards, etc. to ensure law conformity.
• Review Code of conduct, Business Partner Due Diligence (BPDD) checks, Compliance and Crisis Management
• Collaborate with management to devise efficient defense strategies
• Specify internal governance policies and regularly monitor compliance
• Research and evaluate different risk factors regarding business decisions and operations
• Apply effective risk management techniques and offer proactive advice on possible legal issues
• Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust
• Draft and solidify agreements, contracts, and other legal documents to ensure the company’s full legal rights
• Deal with complex matters with multiple stakeholders and forces
• Identify and mitigate tax risks for all of activities from concerned teams within company (commercial, factory and supporting teams)
• Handle all company lawsuits; act on behalf of TOAV in court
• Consult relevant departments on environment, safety, ISO and production related law and regulations, including but not limited to product conformity; marking; fire-fighting; waste treatment, energy, etc.
• Advise relevant departments on tax risks to ensure compliance with local laws and tax regulation (VAT, CIT, PIT, FCT)
• Provide clarification on legal language or specifications to everyone in the organization
• Conduct your work with integrity and responsibility
• Maintain current knowledge of alterations in legislation
Yêu cầu ứng viên
• BSc degree in Law or J.D. degree, MA or BSc in Business Administration will be considered an advantage
• Proven experience as a Legal Counsel in business environment
• Excellent knowledge and understanding of corporate law and procedures
• Full comprehension of the influences of the external environment of a corporation
• Demonstrated ability to create legal defensive or proactive strategies
• High degree of professional ethics and integrity
• Sound judgement and ability to analyze situations and information
• Outstanding communication skills
