Mô tả công việc
1. In-house Legal Counsel
- Draft, negotiate and review legal documents including corporate documents and contractual legal documents (e.g. contracts, agreements, NDAs, term-sheets);
- Research and advise on legal aspects of investment transactions, e.g. applicable laws and regulations, process, etc.
- Identify potential risks, perform risk assessment and provide recommendation on risk management strategies;
- Assist the Investment team in deal structuring, terms and conditions, documentation;
2. Compliance
- Set up and implement internal control system;
- Develop, maintain, review and update the Company’s policies and procedures;
- Identify and evaluate internal control weaknesses and compliance risks;
- Consult and recommend on handling conflicts of interest and minimizing potential risks in the Company’s day-to-day activities.
3. Other Tasks
- Perform corporate secretary tasks for the BOD and shareholder’s meetings when required;
- Provide guidance and training to management and staff on legal and regulation updates, internal control policies and procedures.
Yêu cầu ứng viên
- Minimum 3 years of working experience in law firm or legal department in corporate, preferably in M&A transactions, and investment/financial/banking industries;
- Minimum Bachelor’s degree in Law;
- Degrees in Business, Finance, Accounting and Auditing are advantageous;
- Fund management certificate granted by the SSC is a plus
- Solid work ethic
