Job purpose
- Operate and supervise the activities of the Legal Department. Ensuring compliance with the law, reducing risks
- Assign tasks, evaluate employee performance.
- Report periodically (quarterly, annually) or ad hoc on the legal situation, risks, insurance.
Main tasks
1.1 Legal advice to the Board of Directors and units in developing and promulgating internal regulations and rules (salary regulations, labor regulations, seaport safety), ensuring compliance with the 2019 Labor Code, the 2020 Enterprise Law, the Maritime Law and related legal documents.
1.2 Training and disseminating legal knowledge to officers and employees to raise awareness of compliance with legal regulations at work.
1.3 Participating in negotiating and negotiating large contracts or contracts with complex legal factors under the direction of the Board of Directors, ensuring compliance with legal regulations during the signing process.
1.4 Ensuring compliance with legal regulations:
- Monitoring and updating new legal documents (laws, decrees, regulations, circulars) related to port and business operations, propose adjustments to internal policies to ensure timely compliance.
- Check the legality of business activities, port operations (such as operating licenses, labor safety, environmental protection) to ensure that the Company does not violate the law.
- Report to the Board of Directors on potential legal risks due to non-compliance with legal regulations, along with solutions to overcome them.
1.5 Complaint handling:
- Receive, analyze and resolve complaints from employees, partners or third parties (for example, complaints about salaries, working conditions, breach of contract) within 30 days from the date of receipt.
- Coordinate with the Human Resources Department and related units to prepare documents, propose solutions to submit to the Board of Directors for approval, ensuring compliance with the law.
- Report the results of complaint handling to the Board of Directors, along with an assessment of the level of legal compliance during the settlement process.
1.6 Litigation:
- Represent the Company in lawsuits and legal disputes at courts or arbitration agencies when authorized, ensuring compliance with current litigation regulations.
- Coordinate with lawyers and external legal consultants to develop a strategy to protect the Company's interests in litigation.
- Monitor and report the progress and results of litigation to the Board of Directors periodically or when requested urgently.

Qualifications and Certificates:
- University degree in Business Administration, Law or equivalent majors
Experience:
- Minimum 10 years of working experience in the field of Legal Affairs, Risk Management.
- Priority is given to candidates with experience in:
+ Working in the field of legal affairs, risk managemen, of which at least 3 years in a management position (Head of Department, Supervisor) at a large enterprise, with priority given to the seaport, logistics, transportation, or manufacturing industries.
+ Legal consulting, building internal regulations (labor regulations, labor safety...), and evaluating contracts with domestic/international partners.
+ Handling labor complaints, legal disputes, or representing enterprises in court/arbitration proceedings.
+ Building a risk management system, making emergency response plans (natural disasters, technical incidents), and managing insurance contracts (negotiation, compensation).
+ Basic understanding of port operations (operations, logistics, safety) through practical experience is a big advantage.
- Understanding of Vietnamese law: Labor Code 2019 (salary, contract, dispute), Enterprise Law 2020 (management, contract), Maritime Law (port operation, transportation), and related documents (Decree 145/2020/ND-CP, 38/2022/ND-CP).
- Mastering of litigation procedures (Civil Procedure Code 2015), labor safety and environmental protection laws, and international laws on maritime transport (Incoterms, international contracts).
- Knowledge of risk management (ISO 31000 framework), types of business risks (legal, financial, operational), and how to develop an emergency response plan.
- Understanding of corporate insurance (property, liability, cargo), insurance contract negotiation process, and claim handling.
Skills:
- Use specialized English for work, have the ability to communicate in English independently.
- Proficient in office software (Word, Excel, PowerPoint) and software necessary for professional work
- Leadership skills, team management, work assignment and performance evaluation.
- Skills in legal analysis, risk.
- Negotiation skills, communication with the Board of Directors, state agencies, partners, and insurance companies.
- Skills in drafting, reviewing legal documents, clear and convincing management reports.
- Skills in planning, organizing, and supervising the implementation of legal systems and risks.
