Our client: A joint-venture company specializes in investing and developing commercial and residential projects as well as public-private partnerships.
Position: Corporate and Contract Legal Team Leader
Working location: Phu Nhuan District, Ho Chi Minh City
Working hour: Monday – Friday, 08:00 ~ 17:00
Responsibilities
- Conduct due diligence of target companies and provide legal advice, structure of M&A deals;
- Draft and review transactional documents i.e. NDA, MOU, SPA, SHA, etc.;
- Negotiate and draft agreements including purchase and sale agreement, booking agreement, long-term lease agreement, construction/ design/ consultancy contracts, marketing services, etc. and monitor execution of these agreements; /
- Negotiate disputes with purchasers, vendors and other parties as needed and handle legal matters arising from sales and lease of residential units;
- Handle claims/disputes settlement, pre-litigation negotiation, and mediation during legal proceedings and monitor litigation or arbitration;
- Handle regulatory issues including governmental filings, licenses, approvals and registration of the company;
- Ensure all corporate documents i.e. investment licenses, branch licenses, share certificates, etc. are renewed, upgraded on time, valid at all time and in line with constantly changing laws and business models of the Company;
- Research and update legal knowledge, draft/new laws and regulations on corporate, M&A, real estate, housing;
- Other assigned tasks. Report to manager
Yêu cầu ứng viên
- Minimum three years' experience in commercial/corporate/real estate practice at reputable law firms or real estate companies;
- Bachelor degree in Law from a Vietnamese University;
- Good understanding of real estate projects, foreign direct investments, mergers and acquisition, corporate and commercial transactions and direct involvement in handling sales contracts for residential projects;
- Solid understanding of Investment Law, Enterprise Law, Real Estate Law, Housing Law, Construction Law and other relevant regulations;
- Having experience in working with authorities, creating and remaining relationship with authorities;
- Good oral and written communication skills in English;
- Self-starter, self-motivated, responsible, trustworthy, and hard-working;
- Good research, analytical skills, and logical thinking;
- Ability to work both independently and as a team member under high pressure;
- Owned the lawyer-practicing certificate is an advantage.
Quyền lợi/Phúc lợi
- Salary: 25,000,000 VND ~ 35,000,000 VND (Gross)
- Full social insurance and income tax according to Vietnam Labor Law
- Paid holiday; 13th-month salary; salary review once a year
