The Contract Manager is responsible to manage and administer all types of contract between the Company and Client, Subcontractor/Supplier & Employee and protect the best interest of the Company on a daily basis of contractual issues, including but not limited to the followings:
A. Contract negotiation:
• Involve in the negotiation stage of contract in terms of scope of work, right and obligation of related parties, payment conditions... Highlight legal implications of contracts and review the contract before signing to ensure that local laws and Group’s regulations are fully complied with and the best interest of the Company is protected;
• Provide support in reviewing all legal and contractual aspects of prequalification and bids (internal and external):
+ To Commercial Dept.: in preparation of bid to be submitted to Clients based on their standards.
+ To Purchasing Dept.: in preparation of bidding template/document and evaluation before sending to Suppliers.
• Manage, check and verify required insurances and bonds (if any) in coordination with related parties including Commercial Dept., Accounting & Finance Dept.

B. Contract management:
• Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness to support implementation;
• Closely and proactively coordinate with related parties to ensure that the contract is properly implemented, including but not limited to the followings:
- Manage in collaboration with Commercial Dept./Project Dept. any potential disputes with Clients; with Purchasing Dept. any potential disputes with Suppliers/Subcontractors and with HRA Dept. any such with the Employee;
- Coordinate with related depts. such as Commercial Dept., Technical Dept., Project Dept.… to address contractual matters during contract implementation on Site;
- Attend meetings (internal and with Clients, Suppliers/Subcontractors and Employees) as and when required;
- Review contractual agreements and letters for the Project team if required;
- Advise the Project Manager or other operational staff on contract administration;
- Review the documentation in relation to progress of cost and expenses claim, final account and a variety of other documents as requested;
- Monitor transaction compliance (milestones, deliverables, invoicing etc.);

C. Reporting/ Documentation :
• Manage and store all contracts and records (except for labor contract) in the form of hard copy and soft copy as well as maintaining a List of contract in Excel.
• Perform reports, including but not limited to Monthly report on contract implementation to update the performance status of all contracts, highlight late & potential late and relevant consequences and from that pushing related parties/PIC to timely have action plan, then follow up such plans.

D. Legal Consultancy:
• Research, update legal issues related to trade, contracts, especially contracts in construction field and communicate to related parties (not only newly issued laws but also potentially issued ones;
• Provide consultancy to the BOD and other departments on legal issues to the best of his/her knowledge if required;
• Prepare legal documents and participate in lawsuits to protect the best interest of the Company;
• Take the role as a focal point to lead the works with the third party legal firm as and when required;

E. Organizational development:
• Be aware of FREYSSINET VIETNAM QSE Policy;
• Establish and implement Department’s objectives aligning with the Company’s objectives. Be aware of FREYSSINET VIETNAM QSE objectives;
• Be aware of risk(s) at the workplace, environmental aspects and comply with obligations;
• Be aware of QSEMS documentation system and develop, maintain and regularly update SOP of Contract Department such as Contract Manual, Contract Minimum Compliance, Standard Contract template, Bond issuance; Support other depts. to establish relevant SOP (AR, AP, Procurement…) and review SOP to ensure the compliance with group requirement, local laws as well as suitable with local practices.
• Timely report the issues relating to safety/quality/environment to responsible person;
• Propose recommendations for improvement of QSEMS (if any).

F. Others:
• Perform the Company's tasks in accordance with the Company's approved procedures.
• Perform any other tasks that may be assigned from time to time.

1. Qualifications (Essential) :
- University graduated or higher;
- Deep understanding & experience in construction contract management, project management and customer relationship;
- Good knowledge of laws and regulations including but not limited to construction laws, bidding laws, investment laws, enterprise laws, labor laws….;
- Strong knowledge of the construction market in relation to industry trends and norms.
2. Qualifications (Desirable) :
- Educational background in engineering/construction;
- Having degree/certificate in legal training courses is a plus.
3. Computer Literacy: Computer literacy and especially MS Offices
4. Language required:
- Be fluent in Vietnamese, especially in the legal language;
- Good command of English (both verbal and written).
5. Specific Experience (in Years) : Minimum 07 years of relevant experience in which at least 05 years at the similar position in construction field
6. Duty (Shift/General& Office/Site): Office based (Hanoi) with travel to sites if required
7. Personal Competencies:
- Strong communication, negotiation & persuasion skills;
- Sound organizational skills, high level of detail orientation, and efficient time management;
- Strong leadership skill and ability to develop team work in an efficient working atmosphere;
- Strong analytical, problem solving, balanced and independent judgment, law interpretation and implementation skills;
- Ability to work independently and under pressure with a realistic can do attitude;
- Mindset of compliance to Group's ethics and vigilance and local laws;
- Strong integrity and devotion to the best interest of the Company.
