Main responsibilities:
1. LICENSING:
1.1. Investment:
- Research investment conditions and inquiring about actual practice from the Department of Planning and Investment regarding clients’ intended business activities, ranging from purchase and sale of goods to manufacturing industries;
- Draft applications for issuance of Investment Registration Certificate and for issuance of Capital Acquisition Approval for foreign investors.
1.2. Corporate:
- Establish companies and registering changes of business registration contents;
- Draft capital contribution and capital transfer contracts;
- Research and advising on company restructuring.
1.3. Representative offices of foreign traders:
- Provide initial advisory and drafting applications for both establishment and closure of representative offices by liaising with Department of Industry and Trade as well as Tax Department.
1.4. Commerce:
- Support a major beverage ingredients supplier and distributor on announcing promotion programs;
- Register companies’ e-commerce websites.
1.5. Intellectual property:
- Perform preliminary search and evaluation of the possibility of registration for protection of trademarks;
- Implement trademark registration procedures;
- Review and assessing for possible infringement of intellectual property rights.
2. ADVISORY AND CONTRACT DRAFTING/REVIEWING:
- Participate in drafting and reviewing contracts on purchase and sale of goods, logistics, etc.
- Review lease and purchase agreements between clients and a leading real estate developer.
3. LITIGATION & DISPUTE RESOLUTION:
- Study disputes arising from clients’ contract and proposing suitable resolutions to ensure client’s interests and maintain harmonious relationship between clients and their business partners;
- Act as the company’s main advisor and supporting clients on divorce procedures;
- Participate in and supporting senior lawyer to prepare for court hearings for resolution of several civil disputes.

- Review legal compliance of lease agreements.

- Advised on M&A Deals: Acted for buyer in conducting legal due diligence and drafting SPA. Acted for seller in providing documents, liaising with the buyer and reviewing SPA. Drafted Shareholders’ Agreement.
- Facilitated Market Entry for International Client: Assisted various foreign investors in entering the Vietnam market, handling regulatory approvals such as Investment Registration Certificate, Enterprise Registration Certificate, Representative Office Establishment License, and Business License.
- Drafted and Negotiated Commercial Agreements: Successfully negotiated various agreements for construction, contractor consortium and sales of goods, securing favorable terms for the clients.
- Provided retainer service: Provided comprehensive legal consulting services to companies trading food ingredients with a significant market share in Vietnam, including contractor tax, franchise and commercial contracts, labor contracts and compliance with competition law.
Provided legal advice to a foreign-invested retail company and an e-voucher trading company.
- Provided Legal Opinion/Memorandum: Advised on compliance with personal data protection, e- commerce, cross-border online teaching website, and foreign loans.
