• Advice on licensing matters for establishment and business operation of FDI enterprise in Vietnam, including:
+ registration and amendment of investment license, capital contribution notice, enterprise registration.
+ business license for retail chains
+ sub-license in other legal areas e.g. import cosmetic declaration, ICP license, social network license, e-commerce platform registration
• Advice on post licensing procedures after establishment of the legal entities, esp. regarding taxation issues.
• Review, draft civil and commercial contracts, legal documents under client’ requirements;
• Assisting lawyers on litigation matters, ie. liaising with the competent courts, drafting documents to submit to the courts.
• Attend physical or teleconference meetings with clients.
• Translating English documents into Vietnamese and vice versa.

• Reviewing and drafting commercial contracts, lease contracts & construction contract for each retail store and other contracts as instructed by Corporate Affairs Manager.
• Reviewing legal documents of company’s operations assigned by Corporate Affairs Manager, including constitutional documents (ie. Enterprise Registration Certificate and its amendments, Branch License, Business Location License…) and finding out the requirements for business operation in accordance with the prevailing law.
• Conducting legal research assigned by corporate affairs manager, including research on corporate law, investment law… with regards to the establishment of foreign wholly-owned enterprises in Vietnam, the requirements for operation of foreign companies in Vietnam, compliances under the prevailing law of Vietnam.

• Review and draft contracts in wide range of types: (non)-exclusive distribution, sale or purchase, service contract esp. marketing campaign, lease & office construction for company and branches, sponsorship deal, and others as instructed by Legal & Compliance Head.
• Identify legal issues by legal research, provide legal advice and opinion on matters relating to daily business operation of the Company on corporate law, investment law, pharmaceutical law to functional departments as assigned.
• Ensure all IRC, ERC, business licenses as CEPB, GSP of company and branch are renewed on time, valid at all time and in line with prevailing legislation and latest business model. Periodically report to Corporate governance team of Headquarter on procedure timeline and status.
• Engage in negotiation of ADR for disputes arising from transactions. Follow-up lawsuit with outsourcing law firm assigned by Legal & Compliance Head.
• Review internal documents such as local SOPs, policies or cross coordination procedures to be in line with guideline of the Groups, prevailing legislation and compile them if required.
• Support to organize annual compliance training sessions for functional departments.
