• Performing legal research and preparing legal documents to assist clients in various aspects such as M&A, investment, multi-level marketing, etc.
• Reviewing and assisting seniors in drafting and finalizing the transaction documents, advice, legal opinion, legal reports and memorandum
• Supporting seniors and/ or direct contact with clients.
Notable engagements:
Merger & Acquisition (M&A)
• Strongly engaging in M&A projects (due diligence, merger filing application) in numerous industries such as automotive, steel, energy and infrastructure, etc.
• Successfully assist Vietnamese and international clients to obtain clearance from the competent authorities to execute the economic concentration transaction.
Compliance support
• Advising clients on procedures and preparing documents related to licensing services: setting up company (IRC & ERC application), amending licenses (IRC, ERC, Charter & COL amendment) and other ad-hoc legal issues during the establishment/operation of the business;
• Drafting and assisting seniors in the preparation of monthly legal updates to foreign clients.
Other ad-hoc projects
• Advocacy project: support the CEO and senior in providing arguments/ talking points to engage with relevant stakeholders and authorities regarding a specific draft law, and succeed in persuading competent authorities to amend a specific provision that is related to the business activities of clients.
• Arbitration proceedings: support seniors in preparing evidence, argument, and drafting the Statement of Defense for the client
