The Head of Legal & Compliance will build and lead the legal, risk and compliance function. The Head of Legal & Compliance will put in place, and then drive internal processes to ensure the wider organization is following best practice in good governance, risk management and compliance.
The role will also have the opportunity to design and build processes from scratch and take responsibility for a wide remit including good governance, regulatory compliance, procurement and logistics compliance, due diligence exercises, legal and overall organizational compliance with Nash Squared group policies.
Legal Advice
• Conducting legal analysis and researching legal matters.
• Providing advice on all legal matters relating to the company business operations.
• Collaborate with management to devise efficient defense strategies.
• Draft legal opinions, memoranda, and briefing documents.
• Communicate and negotiate with external parties (regulators, external counsel, public authority etc.).
• Deal with complex matters with multiple stakeholders and forces.
• Provide clarification and training on legal language or specifications to everyone in the organization.
Contract Management
• Draft and revise a variety of contracts with customers, vendors and partners.
• Meet with customers, vendors and partners to discuss both legal and business matters.
• Provide advice and guidance to the different teams relating to contract generation.
• Create, prepare, review and edit all kind of contracts relating to the company business operations.
• Communicate and negotiate with external parties about legal terms in contracts.
• Maintain a contract database for all vendors and suppliers.
Risk and Compliance Management
• Keep the board up-to-date with upcoming law changes (business and labour) which may impact the group and proposed appropriate responses.
• Quantify the risk of legal or business changes based on client, vendor or staff contracts.
• Maintain a risk register of significant risks facing the group, the financial exposure, and our response to mitigate those risks.
• Ensure that suitable legal review processes are operating across the business.
• Specify internal governance policies and regularly monitor compliance
• Maintain and track compliance with Harvey Nash group policies.
Business Licences and company secretarial
• Business licence compliance, applications and amendments in Vietnam, Singapore, Japan and Australia.
• Set up new legal entities across NashTech group if necessary.
• Prepare Annual BOD/ AGM meeting minutes.
• Liaise with group investments on legal papers.
• Chair discussions with governments and government agencies for support and responses relating to ongoing business challenges.
Business partnering
• Business partnering with finance, HR, delivery, sales and BPO teams on all legal, risk and policy matters.

• Develop and implement legal strategies and solutions that are consistent with executives' vision for the business.
• Provide timely and exactly advice on all legal services to all departments ensuring maximum protection of the company's legal rights while maintaining operations within the limits of prescribed laws.
• Review, minimize legal risks in all legal documentation, including but not limited to insurance policy wording, official letters and agreements with vendors, partners and clients.
• Monitor legal developments to make sure the management team and business units are well updated and determine legal trends influencing business strategy.
• Present as the company's authorized representative to coordinate with the external law firms as well as liaise with state agencies, courts in regulatory approval, non-claim and claim litigation handling in order to protect the company's legal interest.
Compliance
• Ensure effective compliance framework and governance on regulatory compliance (both in term of regulatory and internal rules/policies).
• Oversee and monitor the implementation of the compliance plan on a continuing basis.
• Periodically revise the plan in light of changes in the needs of the organization, and in the local laws/regulations and policies and procedures of regional to improve its effectiveness.
• Coordinate and work with departments to proactively identify regulatory concerns and compliance gaps and address the same properly.
• Update compliance policies and deliver compliance training to senior management and employees to ensure they keep abreast of the requirements of local authorities and regional.
Risk Management
• Develop and implement the group's corporate risk register in compliance with risk management
objectives and standards.
• Serve as risk manager with responsibility for developing appropriate protocols, strategies and
procedures to minimize financial, operational, insurance and strategic risk to the company.
