Orient Counsel is a well-known consultancy firm that is an active member of the German Business Association, European Chamber of Commerce in Vietnam and Asia Practice Network in Singapore. We are recognized as trust-worthy local counsels in the fields of international commerce, foreign investment, corporate governance, labour, and intellectual property (IP) protection. My experience in the course of practising at Orient Counsel ranges as follows:
⁻ Representing or together with clients taking part in discussion, negotiation with their business partners during contract execution and implementation, and/or dispute resolution;
⁻ Representing clients to liaise with various State authorities, such as Departments of Planning and Investment (DPIs), Departments of Labour, Invalids and Social Affairs (DOLISAs), Department of Industry and Trade (DOITs), National Office of Intellectual Property (NOIP) and Immigration Department;
 Providing consultancy on and directly conducting various business and investment registration procedures in the sectors of trading activities, information technology, real estate, e-commerce, etc. (including but not limited to procedures for issuance of new/amended/renewed Acquisition Approvals (AAs), Enterprise Registration Certificates (ERCs), Investment Registration Certificates (IRCs);
 Providing consultancy on and directly conducting procedures for
(i) establishment of branches and representative offices of foreign businessmen in Vietnam;
(ii) issuance of Business Licences (BLs), Retail Outlet Licences (ROLs), Licences of Satisfaction of Business Conditions applicable to conditional business lines, and other certifictes that procure projects’ compliance with law; and
(iii) registration of commercial promotion activities of foreign businessmen in Vietnam;
 Providing consultancy on and directly conducting procedures for
(iv) registration of internal labour rules (ILRs),
(v) notification of collective labour agreements (CLAs), and
(vi) issuance of work permits for foreign workers in Vietnam;
 Providing consultancy on and directly conducting procedures for registration of trademarks, copyrights, industrial designs; as well as conducting procedures for IP licence renewal;
 Providing consultancy on and directly conducting procedures for issuance of the Temporary Residence Cards (TRCs) foreigners working in Vietnam.
⁻ Drafting, reviewing and revising from a legal perspective many different types of agreements (i.e. labour contracts, share purchase agreements, trading agreements, franchise agreements and IP transfer agreements);
⁻ Conducting preliminary legal researches in order to prepare brief notes, high-level red flag summary reports to be sent to superiors;
⁻ Conducting thorough legal analyses in order to prepare memorandum of advice (MOAs) to be sent to clients;

PM Work is an enterprise which (i) provides services of labour provision, (ii) consults on Japanese study and working opportunities, and (iii) provides Japanese classes. As a Compliance Specialist, I am in charge of the here-below tasks:
⁻ Preparing the application dossiers for clients who desire to go to Japan for studying and working;
⁻ Drafting, reviewing and revising from a legal perspective various types of agreements (i.e. memorandum of understandings, deposit contracts, training contracts);
⁻ Drafting and reviewing various types of corporate documents, such as meeting minutes, resolutions, decisions;
⁻ Conducting preliminary legal researches in order to prepare brief notes, high-level red flag summary reports to be sent to the Director of PM Work;
⁻ Conducting thorough legal analyses in order to prepare concise MOAs to be sent to the Director of PM Work.

LawPage is a legal service provider that practises in fields of business, investment and goods registration in Vietnam. During the internship at LawPage, I have gained a lot of practical experience which helps an undergraduate like me get better prepared for the professional legal career. My primary responsibilities at LawPage comprise:
⁻ Conducting weekly legal update on newly-issued legislations;
⁻ Conducting legal research and further analyses (in case of necessity) about various business and investment registration procedures;
⁻ Assisting lawyers in preparing various documents to liaise with different State authorities, namely DPIs, DOITs, and DOLISA.
