Assistant Legal Manager (6-Month contract)

PURPOSE AND SCOPE
Supports the Head of Market and dotted line to Head of Legal by drawing on his/her knowledge of the law and legal environment, as well as his/her intimate knowledge and understanding of the Market/Company/Group’s businesses, governance, policies and strategies in order to give advice in structuring transactions, keep the Market/Company/Group’s activities within the law and without transgressing into areas that would damage the Market/ Company/Group’s reputation, minimize areas of disputes or conflict with counter-parties.In this context, Market refers to Singapore and Southeast Asia Market, and particularly all Verticals save for Waste Management i.e. Water, Solar, Gas, Power and Utilities, as well as horizontals namely Strategic Partnerships & Origination, Portfolio Strategy & Optimisation and Integrated Engineering Group.
KEY ROLES AND RESPONSIBILITIES
1) Scrutinize and review major investments and legal risk containment in projects such as mergers, acquisitions and corporate restructuring
2) Liaise with Business Units on governance and compliance issues under the prevailing framework and standing guidelines
3) Participate actively in front line negotiations and interface with customers, business partners, suppliers, contractors etc
4) Work as an integrated team with Group M&A, Group Finance, Group Tax, Group Assets Management and Business Units (including other Corporate Services units) in identifying, mitigating and managing risks on activities, businesses and projects of Company/Market/Group.
5) Review and enhance the Group’s corporate policies to minimize legal and regulatory risks
6) Understand, implement and monitor compliance with corporate policies and principles of good corporate governance
7) Support the Head of Legal in managing and monitoring all material litigation and reporting to the Board Risk Committee
8) Assist with the management of the Company’s trademark portfolio
MAJOR CHALLENGES
1) Understanding the commercial objectives, strategy, pressure points of the business, reasonable operational knowledge with a view to identifying and assessing the risks and legal issues involved, and effectively communicating this to the business unit or project team to enable them to make well-informed business decisions. Working with the business unit or project team to think out of the box for solutions to business matters which are win win for Company and Customers.
KEY DECISIONS & DIMENSIONS
1) Assess transactions and agreements to identify legal risks in transactions/agreements and provide advice and recommendations to the business unit to enable them to make informed commercial decisions

QUALIFICATIONS & EXPERIENCE
1) Bachelor Degree in Laws
2) Called to the Bar
3) At least 6-10 years of relevant working experience
4) Experience working in the energy and utilities sector would be an advantage
5) Multidisciplinary training would be an advantage
6) Experience: prefer experience in Renewable energy and Big four company
SKILLS/COMPETENCIES & PREFERRED CHARACTERISTICS
1) Possess utmost integrity and honesty, have a flair for legal work
2) Clear and logical thinking and professionalism as a lawyer, of the calibre to be appointed a partner in a good firm
3) Able to exercise creativity in taking on problems which have no precedent or clear options available
